Prior to starting the firm, Joe Campolo served as General Counsel and eventually as President of a privately held national technology company. This hands-on experience taught him the importance of making strategic legal decisions that protect a company and also make good business sense.

The firm handles all types of private corporate transactions, including the formation, structure, sale, merger and acquisition of a business, stock and phantom stock agreements, structuring loans, private investments, overseas and cross-border transactions. We also have experience in drafting and negotiating all essential corporate agreements including shareholder, management, employment, executive compensation, stock option plans, operating, confidentiality, non-disclosure, non-compete, license, reseller, distributor, joint venture, vendor/service provider, and service level agreements (SLAs). Our attorneys are also experienced in reviewing and advising with responses to requests for proposals (RFPs) and negotiating final terms (BAFO), and negotiating contracts with the federal government (including GSA) as well as numerous state contracts.

Private Equity
The firm has substantial experience in working with startup companies to provide essential guidance in obtaining venture and other types of private financing, including business plan review.  We recognize the importance of time in such transactions, and pride ourselves on our ability to complete successful private equity deals with efficiency, precision, and professionalism.  Our firm has represented companies in raising working capital through private placements, PIPEs, convertible debt and negotiating conventional lines of credit. We have also represented companies in rights offerings and stock redemptions, as well as setting up qualified and non qualified stock option plans.

The firm works regularly with Not-for-Profit entities on both start-up and development initiatives. Our attorneys advise clients on routine operational matters as well as more complex concerns and organizational issues.
